Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WiseLogic Co., Ltd. ("WiseLogic," "we," "us," or "our"), a company registered under the laws of Thailand with Tax ID [PLACEHOLDER], governing your access to and use of the SQUID AI platform (the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.
2. Account Terms
2.1 Eligibility: You must be at least 20 years of age (or the age of majority in your jurisdiction) to create an account and use the Service. By registering, you represent that you meet this requirement.
2.2 Account Registration: You must provide accurate, current, and complete information during registration and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials.
2.3 Account Security: You are solely responsible for all activities that occur under your account. You must immediately notify us at support@wiselogic.co.th if you become aware of any unauthorized use of your account or any security breach.
2.4 One Person Per Account: Accounts are for individual use unless you have subscribed to a plan that supports multiple users. Sharing login credentials is prohibited.
2.5 Organization Accounts: If you create an account on behalf of an organization, the organization is the account owner. The organization's administrator may control access to and management of the account, including the ability to modify or terminate individual user access.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
3.1 Upload, process, or store any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable under Thai law or the laws of your jurisdiction.
3.2 Use the Service to process documents containing illegal content, including but not limited to child exploitation material, content that incites violence, or content that violates intellectual property rights of third parties.
3.3 Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service.
3.4 Use the Service to transmit malware, viruses, or any other malicious code, or to conduct denial-of-service attacks.
3.5 Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or its underlying algorithms.
3.6 Use the Service in any manner that could disable, overburden, or impair the Service or interfere with other users' use of the Service.
3.7 Use automated means (bots, scrapers, etc.) to access the Service except through our published API within your plan's rate limits.
3.8 Resell, sublicense, or distribute the Service or any output generated by the Service without our prior written consent.
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these acceptable use provisions.
4. Service Description
4.1 SQUID AI is a cloud-based platform that provides document processing, AI-powered analysis, and workflow automation capabilities. The Service leverages artificial intelligence technologies to extract, analyze, and structure information from uploaded documents.
4.2 Service Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our reasonable control.
4.3 AI-Generated Output: The Service uses artificial intelligence to process and analyze documents. While we strive for accuracy, AI-generated results may contain errors or inaccuracies. You are solely responsible for reviewing and verifying all output generated by the Service before relying on it for any purpose.
4.4 Service Modifications: We reserve the right to modify, update, or discontinue any feature or functionality of the Service at any time. For material changes that adversely affect your use of the Service, we will provide at least 30 days' prior notice.
4.5 Beta Features: We may offer beta or experimental features that are provided "as is" without any warranty. Beta features may be modified or discontinued without notice.
5. Payment Terms
5.1 Subscription Plans: The Service is offered under the following subscription plans, billed in Thai Baht (THB):
- Free Plan: ฿0/month with limited features and credits
- Starter Plan: ฿990/month
- Pro Plan: ฿2,990/month
- Enterprise Plan: ฿14,990/month
5.2 Billing Cycle: Paid subscriptions are billed monthly or annually in advance on the date of your initial subscription. All prices are exclusive of applicable taxes (VAT at the prevailing rate) unless otherwise stated.
5.3 Payment Method: All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge the applicable fees to your selected payment method. You are responsible for ensuring your payment information remains current and valid.
5.4 Price Changes: We may adjust subscription prices with at least 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree with the price change, you may cancel your subscription before the new price takes effect.
5.5 Taxes: You are responsible for all applicable taxes, including Value Added Tax (VAT), associated with your use of the Service. We will include applicable taxes in your invoices as required by Thai law.
5.6 Late Payment: If payment fails, we will attempt to charge your payment method up to 3 additional times over a 14-day period. If payment remains unsuccessful, your account may be downgraded to the Free plan or suspended until payment is resolved.
5.7 Invoices and Receipts: Tax invoices and receipts are generated automatically and available for download in your account settings. Full tax invoices including our Tax ID [PLACEHOLDER] are provided for all transactions.
6. Credits and Usage Quotas
6.1 Credit System: The Service operates on a credit-based system. Each subscription plan includes a monthly allocation of credits that are consumed when you use document processing, AI analysis, and workflow features.
6.2 Credit Allocation: Credits are allocated at the beginning of each billing cycle according to your subscription plan. Unused credits do not roll over to the next billing cycle unless explicitly stated in your plan terms.
6.3 Credit Consumption: Different operations consume different amounts of credits based on complexity, document size, and processing requirements. Current credit consumption rates are published in our documentation and may be updated from time to time.
6.4 Overage: If you exceed your plan's monthly credit allocation, additional usage will be charged at the overage rate applicable to your plan. Overage charges are billed at the end of each billing cycle. You may set spending limits in your account settings to control overage costs.
6.5 Credit Purchases: You may purchase additional credit packs at any time through the Service. Purchased credits are valid for 12 months from the date of purchase and are consumed after your plan's included credits are exhausted.
6.6 Usage Monitoring: You can monitor your credit usage and remaining balance in real time through the SQUID AI dashboard. We will send you notifications when you reach 80% and 100% of your monthly credit allocation.
7. Cancellation and Termination
7.1 Cancellation by You: You may cancel your subscription at any time through your account settings or by contacting support@wiselogic.co.th. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until that date.
7.2 Downgrade: You may downgrade your subscription plan at any time. The downgrade takes effect at the beginning of your next billing cycle. You will retain access to your current plan's features until the end of the current billing period.
7.3 Termination by Us: We may suspend or terminate your account at any time if:
- You violate these Terms or our Acceptable Use policy
- Your payment is overdue for more than 30 days
- We are required to do so by law or government order
- We reasonably believe your account poses a security risk
7.4 Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to export your content. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
7.5 Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination of these Terms.
8. Intellectual Property
8.1 Our Intellectual Property: The Service, including its software, algorithms, user interface, design, logos, trademarks, and documentation, is the exclusive property of WiseLogic Co., Ltd. and is protected by Thai and international intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.
8.2 Your Content: You retain all ownership rights to the documents, data, and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to process, store, and analyze Your Content solely for the purpose of providing the Service to you.
8.3 AI Output: Any output generated by the Service from Your Content (including extracted data, analysis results, and structured information) is considered derivative of Your Content. You own the rights to such output, subject to the underlying intellectual property rights of Your Content.
8.4 Feedback: If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.
8.5 Open Source: Certain components of the Service may incorporate open-source software. Such components are subject to their respective open-source licenses, which take precedence over these Terms to the extent of any conflict.
9. Limitation of Liability
9.1 Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9.2 AI Accuracy Disclaimer: We do not guarantee the accuracy, completeness, or reliability of any AI-generated output. The Service is a tool to assist your workflows, and you are responsible for verifying all results before relying on them for legal, financial, medical, or other critical decisions.
9.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WISELOGIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO WISELOGIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.4 Exclusion of Damages: IN NO EVENT SHALL WISELOGIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WISELOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.5 Essential Purpose: The limitations and exclusions in this section apply to the fullest extent permitted by Thai law, including the Thai Civil and Commercial Code. Some jurisdictions do not allow certain limitations, so some of the above limitations may not apply to you.
9.6 Indemnification: You agree to indemnify, defend, and hold harmless WiseLogic, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
10. Governing Law and Dispute Resolution
10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.
10.2 Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiations between the parties for a period of at least 30 days.
10.3 Arbitration: If the dispute cannot be resolved through negotiation, it shall be submitted to and finally resolved by arbitration administered by the Thai Arbitration Institute (TAI) under its Arbitration Rules. The arbitration shall be conducted in Bangkok, Thailand, in the Thai or English language (as agreed by the parties). The arbitrator's decision shall be final and binding.
10.4 Jurisdiction: Notwithstanding the above, either party may seek injunctive or other equitable relief in the competent courts of Thailand to protect its intellectual property rights or to prevent irreparable harm.
10.5 Class Action Waiver: To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Provide at least 30 days' prior notice via email and/or a prominent notice within the Service
- Update the "Last updated" date at the top of these Terms
- Clearly describe the nature of the changes
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using the Service and may cancel your subscription without penalty before the changes take effect.
